1. A 'Project' is any work undertaken or service provided by www.urbanshops.co.uk for the Client on their request and as described in our confirmation order email to that Client.
   
   
2. A 'Client' is a person, persons, business or organisation using any of the services provided by www.urbanshops.co.uk.
   
   
3. 'Live Mode' means the date the website is available on the Client's chosen domain.
   
   
4. 'Domain' is the website address as specified by the Client.
   
   
5. 'Open Source Software' is software made freely available to anyone under the GNU General Public License (GPL).
   
   
6. 'Hosting' is a yearly cost to keep a clients website activated online.
   
   
7. 'Content' is both text and images that the Client requires on the website.
   
   
8. 'mb' stands for megabytes and is a measure of storage space.

1. The contract between www.urbanshops.co.uk and the Client will be on these conditions, to the exclusion of all other terms and conditions. Any variations to these conditions shall have no effect unless agreed in writing.
   
   
2. The works to be carried out shall be as set out in the www.urbanshops.co.uk confirmation order email.
   
   
3. Email will be the method of contact with regard to all communication. Although www.urbanshops.co.uk can be contacted by telephone, we will use email as our method of communication and therefore it is the Client's responsibility to inform us of any change in email address so we always have up to date email contact details. www.urbanshops.co.uk can not be held liable in any way relating to communication issues if we are not supplied a valid email address. www.urbanshops.co.uk will acknowledge all emails within 3 working days.
   
   
4. www.urbanshops.co.uk will only commence work on a Project after receipt of a non refundable, 50% deposit of the quoted Project fee from the Client. www.urbanshops.co.uk will also require 25% payment upon overall approval of the home page design. The final 25% payment is to be made on completion of the website. The website will be switched to Live Mode once the Clients remaining balance is paid in full.
   
   
5. The deposit paid to www.urbanshops.co.uk covers the cost of design work carried out as well as any admin work and communication with www.urbanshops.co.uk. The deposit is non refundable.
   
   
6. Level 1 Flash animation refers to 3 hours of Flash development time on the clients website by www.urbanshops.co.uk.
   
   
7. www.urbanshops.co.uk shall expect the Client to carry out sufficient research before proceeding with a website. This will include checking that the website/idea/business will operate legally. It is important that the website is not in any way illegal.
   
   
8. It is important for the Client to keep in contact with www.urbanshops.co.uk throughout the entire Project. If a Client does not make contact for 1 week we will make up to 5 attempts to contact the client by email using the email address specified when the client went ahead. If we do not receive a response to these attempts of contact the Project may be terminated, and the deposit will not be refunded.
   
   
9. Where images used on the website have been purchased by www.urbanshops.co.uk on behalf of the Client, these images are strictly for use on the website only. www.urbanshops.co.uk are not liable for misuse of these images by the Client or any other person's copying, altering or distributing the images to individuals or other organisations.
   
   
10. www.urbanshops.co.uk will host the website if the Client requires us to do so and on receipt of full payment of our Hosting fees. In doing so, www.urbanshops.co.uk will endeavour to provide a reliable and professional service to the Client at all times but do not guarantee that the website Hosting will be available at all times, especially in the event of a technical failure beyond our control.
    
    
11. All hosting offered by www.urbanshops.co.uk is limited to 200mb of website space unless otherwise stated in a seperate contract. If your site requires more than 200mb of space we will advise of other hosting solutions and then cease hosting the site.
    
    
12. www.urbanshops.co.uk cannot be held responsible for anything adversely affecting the Client's business operation, sales, or profitability that might be claimed is a result of a service offered by www.urbanshops.co.uk.
    
    
13. Where asked to provide search engine optimisation for a Client, www.urbanshops.co.uk do not guarantee any specific placement or high ranking on search engines.
    
    
14. www.urbanshops.co.uk will provide the Client with an expected completion date for the Project (live on the internet) if requested. www.urbanshops.co.uk will endeavour to meet any given deadline, but do not guarantee and are not bound in any way to complete the Project by this date. The expected completion date provided by any employee of www.urbanshops.co.uk is purely an estimate.
    
    
15. It is the Client's responsibility to check with www.urbanshops.co.uk whether Open Source Software is being used or not.
    
    
16. The Client shall not be charged for Open Source Software. If there is a charge for a website using Open Source Software, the Client is paying for the installation time. Open Source Software is not owned by www.urbanshops.co.uk or the Client.
    
    
17. www.urbanshops.co.uk own all design and code of the website until final payment has been received in full. Once final payment is received, the Client will then own the design and code of the website, unless Open Source Software is used. Images will have been purchased by www.urbanshops.co.uk for the Client, unless the images have been supplied by the Client. Item 17 is subject to item 16.
    
    
18. All images displayed on the Client's website will only be used after authorisation by the Client, and are the sole responsibility of the Client regarding usage and copyright. Should any legal issues or claims arise from the content or copyright of any images supplied by the Client or www.urbanshops.co.uk, they will be the sole responsibility of the Client.
    
    
19. Domain names will be registered by www.urbanshops.co.uk and also registered to the www.urbanshops.co.uk current address. Although the domain names are registered to www.urbanshops.co.uk , the Client is the legal owner of the domain and if they request to have details changed or the domain transferred elsewhere, www.urbanshops.co.uk will do this within a reasonable timeframe.
    
    
20. A domain name will be registered by www.urbanshops.co.uk on behalf of the client once we have received the 50% deposit, 25% design payment, 25% final payment and a completed creative brief.
    
    
21. It is the responsibility of the Client to renew their domain names when due. If a domain name expires, www.urbanshops.co.uk can not be held liable for this. However, www.urbanshops.co.uk will make reasonable effort to contact the Client regarding domain renewal.
    
    
22. When a Client renews Hosting with www.urbanshops.co.uk , this also includes domain renewal if the renewal is needed to keep the site functioning and was purchased as part of the Hosting package. If the Client does not renew the Hosting, their domain name could be made available to the public for purchase and www.urbanshops.co.uk can not be held liable for this.
    
    
23. Renewal of Hosting is due on a yearly basis. The date of renewal will be annually from the date the website was ordered by the Client. The Hosting will not be renewed if www.urbanshops.co.uk cannot contact the Client or the Client requests for www.urbanshops.co.uk to not host this site. This will also affect the domain as per item 22.
    
    
24. The Hosting renewal charge must be received within 10 days of the Hosting expiry date. www.urbanshops.co.uk reserve the right to deactivate any website where the Hosting has expired and the Client has not paid the renewal charge. There will be an admin fee set by www.urbanshops.co.uk for reactivating the website/Hosting.
    
    
25. If the Client does not use www.urbanshops.co.uk Hosting services, then the management and Hosting of the Domain name are the full responsibility of the Client.
    
    
26. www.urbanshops.co.uk will provide 1 years free hosting providing the client pays their deposit payment within 48 hours. If the deposit payment is not received within 48 hours then www.urbanshops.co.uk reserve the right to charge £100 for 1 years hosting of the clients website.
    
    
27. Should a Client wish to move Hosting away from www.urbanshops.co.uk or transfer a Domain name away from www.urbanshops.co.uk, a £50 admin charge will be issued, which must be paid before the transfer takes place.
    
    
28. www.urbanshops.co.uk has no control of, or responsibility for, the content of Clients' websites. In no way does the textual or image based Content of our Client's web sites constitute www.urbanshops.co.uk endorsement, or approval of the website or the material contained within the website. www.urbanshops.co.uk has not verified any of the materials, images or information contained within our Client's web sites and is not responsible for the content or performance of these sites or for the Client's transactions with them. www.urbanshops.co.uk provides links or references to our Client's websites solely for the convenience of prospective customers and intends that the links it provides be current and accurate, but does not guarantee or warrant that such links will point to the intended Client site at all times.
    
    
29. www.urbanshops.co.uk are not liable for loss, damage or corruption to files or information stored on its servers or individual PCs relating to a Client's website. The Client is solely responsible for any information or files relating to its website.
    
    
30. If a Domain name is purchased by the Client through a company other than www.urbanshops.co.uk, the Client has full responsibility in making sure that the domain name is renewed when due. www.urbanshops.co.uk will not renew the Domain name when annual Hosting renewal is due if the Domain name is purchased through a company other than www.urbanshops.co.uk.
    
    
31. www.urbanshops.co.uk will take a 1.9% service charge payment on any payments received using a credit or debit card. If this is not acceptable to the client, we also accept BACS and Cheque as an alternative payment method.
    
    
32. www.urbanshops.co.uk makes no claims that the contents of this website may be lawfully viewed or downloaded outside England and Wales. Access to this website may not be legal by certain persons or in certain countries. If this website is accessed from outside of the United Kingdom, it is done at own risk and the visitor is responsible for compliance with the relevant laws of the visitor's jurisdiction. The terms and conditions of this website are governed by the laws of England and Wales. Jurisdiction for any claims arising in respect of this website's Content shall lie exclusively with the courts of England. If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect.

We offer Website Hosting and Database Hosting services subject to the terms and conditions set out in these terms and conditions, the privacy policy and any other relevant terms and conditions, policies and notices which may be applicable to supply of hosting services.

1. We make no representation and give no warranty as to the accuracy or quality of information received by any person via the Server and we shall have no liability for any loss or damage to any data stored on the Server.
   
2. You shall effect and maintain adequate insurance cover in respect of any loss or damage to data stored on the Server.
   
3. You represent, undertake and warrant to us that you will use the Web Site allocated to you only for lawful purposes. In particular, you represent, warrant and undertake to us that:
   
4. You will not use the Server in any manner which infringes any law or regulation or which infringes the rights of any third party, nor will you authorise or permit any other person to do so.

6. You will not send bulk email whether opt-in or otherwise from our network. Nor will you promote a site hosted on our network using bulk email.
   
7. You will not employ programs which consume excessive system resources, including but not limited to processor cycles and memory.
   
8. We reserve the right to remove any material which we deem inappropriate from your web site without notice. We do not host Warez or illegal MP3 content.
   
9. You shall keep secure any identification, password and other confidential information relating to your account and shall notify us immediately of any known or suspected unauthorised use of your account or breach of security, including loss, theft or unauthorised disclosure of your password or other security information.
   
10. You shall observe the procedures which we may from time to time prescribe and shall make no use of the Server which is detrimental to our other customers.
    
11. You shall procure that all mail is sent in accordance with applicable legislation (including data protection legislation) and in a secure manner.
    
12. In the case of an individual User, you warrant that you are at least 16 years of age and if the User is a company, you warrant that the Services will not be used by anyone under the age of 16 years.
    
13. While we will use every reasonable endeavour to ensure the integrity and security of the Server, we do not guarantee that the Server will be free from unauthorised users or hackers and we shall be under no liability for non-receipt or misrouting of email or for any other failure of email.

Payment

1. All charges payable by you for the Services shall be in accordance with the scale of charges and rates published from time to time by us on our web site and shall be due and payable in advance of our service provision. We reserve the right to change pricing at any time although all pricing is guaranteed for the period of pre payment.
   
2. Payment is due each month, quarter or year following the date the Services were established until closure notice is given.
   
3. If your cheque is returned by the bank as unpaid for any reason, you will be liable for a "returned cheque" charge of £25.00.
   
4. Without prejudice to our other rights and remedies under this Agreement, if any sum payable is not paid on or before the due date, we shall be entitled forthwith to suspend the provision of Services to you.
   
5. If an account goes unpaid for at least seven days, a £10.00 late payment fee will be applied.
   
6. If an account goes unpaid for at least ten days, the account and its associated services are suspended. A £20.00 charge will be applied upon account reactivation to cover administration costs.
   
7. Once an account has a suspended status, Access to files, databases and other content is explicitly denied. All files, databases and other content including the account itself is permanently deleted after ten days of account suspension.
   
8. Should access to files, databases and other content be required before they are deleted, account reactivation will be required.

Termination

1. If you fail to pay any sums due to us as they fall due, we may suspend the Services and/or terminate this Agreement forthwith without notice to you.
   
2. If you break any of these terms and conditions we may suspend the Services and/or terminate this Agreement forthwith without notice to you.
   
3. If you are a company and you go into insolvent liquidation or suffer the appointment of an administrator or administrative receiver or enter into a voluntary arrangement with your creditors, we shall be entitled to suspend the Services and/or terminate this Agreement forthwith without notice to you.
   
4. No refunds will be made for Services suspended.
   
5. We reserve the right to suspend the Services and/or terminate this Agreement at any time.
   
6. You may cancel the Services at any time.
   
7. On termination of this Agreement or suspension of the Services we shall be entitled immediately to block your Web Site and to remove all data located on it.

Indemnity

You shall indemnify us and keep us indemnified and hold us harmless from and against any breach by you of these terms of business and any claim brought against us by a third party resulting from the provision of Services by us to you and your use of the Services and the Server including, without limitation, all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses), howsoever suffered or incurred by us in consequences of your breach or non-observance of this Agreement.

To the fullest extent permissible under applicable law, we disclaim any and all warranties of any kind, whether express or implied, in relation to the Products. This does not affect your statutory rights as a consumer, nor does it affect your Contract Cancellation Rights.

We will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise out of or in connection with the Conditions for:

any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings); or any loss of goodwill or reputation; or any special or indirect losses suffered or incurred by that party arising out of or in connection with the provisions of any matter under the Conditions.

Nothing in the Conditions shall exclude or limit our liability for death or personal injury resulting from our negligence or that of our servants, agents or employees.

Severance
If any part of the Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from the Conditions and shall not affect the validity and enforceability of any of the remaining provisions of the Conditions.
